Southern Nomads ("Southern Nomads," "we," "us," or "our") provides our services (described below) and related content to you through our website(s) and related technologies (collectively, the "Service"). All access and use of the Service is subject to the terms and conditions contained in these Terms of Service (as amended from time to time, these "Terms of Service"). By accessing, browsing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not accept the terms and conditions of these Terms of Service, you will not access, browse, or otherwise use the Service.

We reserve the right, at our sole discretion, to change or modify portions of these Terms of Service at any time. Access and Use of the Service

Service Description

The Service is designed to process input data, information, and content that you provide in the form of text, media, information, data, software, audio, photographs, graphics, messages, and other materials (collectively referred to as the "Submissions") and generate and return output based on those Submissions ("Output", and together with the Submissions, "Content").

Your Representations Regarding Submissions

It is very important that you only upload, post, publish, or display Submissions that you have rights to use and provide hereunder. By uploading any Submission, you represent and warrant that:

You have, or have obtained, all rights, licenses, consents, permissions, power and/or authority necessary to submit and use such Submission in connection with the Service.
Your Submissions and the use thereof will not violate any law or any third party's rights or terms and conditions.
No other licenses, permissions, or payments must be obtained from or made to any other person or entity arising out of our use of your Submissions.

Registration Obligations

You may be required to register with Southern Nomads or provide information about yourself (e.g., name and email address) in order to access and use certain features of the Service. If you choose to register, you agree to provide and maintain true, accurate, current, and complete information about yourself. You must be at least 13 years old to use the Service. If you are under 18 years old, you may use the Service only with the express consent of your parent or guardian.

Member Account, Password, and Security

You are responsible for maintaining the confidentiality of your password and account details and are fully responsible for any and all activities that occur under your password or account. You agree to immediately notify Southern Nomads of any unauthorized use of your password or account.

Comprehensive Copyright & Intellectual Property Policy

1. Retention of Rights

Nothing in these Terms of Service shall be construed to transfer ownership of any templates, audio, underlying intellectual property, proprietary software, or system technologies provided by or through Southern Nomads. All underlying intellectual property remains the exclusive property of Southern Nomads, its affiliates, and its licensors.

2. User Content Ownership

You retain all right, title, and interest in and to your original Submissions, subject to the license granted herein.

3. Limited Right of Use and Reproduction

By transmitting Submissions or generating Output through the Service, you grant Southern Nomads a worldwide, non-exclusive, royalty-free, fully paid-up, transferable license to use, reproduce, store, modify, and display such Content for our own internal use, operational, and administrative purposes only. This right of use and reproduction does not grant Southern Nomads the right to commercially redistribute your proprietary intellectual property outside the scope of providing and maintaining the Service for you.

4. Copyright Complaints and Infringement Notices

Southern Nomads respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please notify our designated copyright agent in writing with the following details:

A physical or electronic signature of the person authorized to act on behalf of the copyright owner.
Identification of the copyrighted work claimed to have been infringed.
Identification of the material that is claimed to be infringing and its location on the Service.
Your address, telephone number, and email address.
A statement that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner's behalf.

Conditions of Access and Use

User Conduct

You agree to not use the Service to:

Upload or transmit any content that infringes any intellectual property or proprietary rights of any party.
Transmit software viruses, malicious code, or files designed to interrupt or destroy computer functionality.
Engage in any unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or hateful behavior.

YOUR USE OF THE SERVICE AND ANY OUTPUT IS AT YOUR SOLE RISK. THE SERVICE, OUTPUT, AND ASSOCIATED MATERIALS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SOUTHERN NOMADS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Limitation of Liability

YOU EXPRESSLY UNDERSTAND AND AGREE THAT SOUTHERN NOMADS AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. IN NO EVENT WILL OUR TOTAL LIABILITY TO YOU EXCEED ONE HUNDRED DOLLARS ($100).

General

These Terms of Service constitute the entire agreement between you and Southern Nomads governing your access and use of the Service. These Terms will be governed by the laws of the applicable local jurisdiction without regard to conflict of law provisions. Failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
